Order means a transaction between an Advertiser and a Publisher through the platform.

Listing means a publishing opportunity or service offered by a Publisher.

User means any individual or business accessing or using the Services.

Services means all products, tools, websites, applications, APIs, and marketplace features provided by PubWhizz LLC.

4. About PubWhizz

PubWhizz is an online marketplace that connects advertisers with independent publishers.

PubWhizz acts solely as an intermediary technology platform and does not own, manage, or control the third-party websites listed by publishers.

Publishers operate independently and are solely responsible for their websites, pricing, editorial decisions, publication timelines, and the services they provide.

PubWhizz is not a party to the publishing agreement between advertisers and publishers except as the marketplace facilitating the transaction.

5. User Accounts

To access certain features of the Services, you must create an account.

You agree to:

Provide accurate and complete information.
Keep your account information updated.
Maintain the confidentiality of your login credentials.
Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

PubWhizz reserves the right to suspend or terminate accounts that violate these Terms or applicable laws.

6. Our Services

PubWhizz provides a marketplace where users can:

Browse publisher listings.
Purchase guest posting and link-building services.
Offer publishing opportunities.
Submit and manage orders.
Upload articles and related content.
Communicate with other users.
Manage wallet balances and transactions.
Participate in affiliate and promotional programs.
Access additional features introduced by PubWhizz from time to time.

We may modify, improve, suspend, or discontinue any part of our Services at any time without prior notice.

7. Marketplace Relationship

PubWhizz only provides the technology platform that enables advertisers and publishers to connect.

Unless expressly stated otherwise:

PubWhizz is not the publisher of any third-party website.
PubWhizz does not employ publishers.
PubWhizz does not guarantee that an order will be accepted.
PubWhizz does not guarantee publication on any specific website.
PubWhizz does not guarantee search engine rankings, indexing, traffic, domain authority, or SEO results.
Publishers are solely responsible for their editorial decisions and website content.

Users acknowledge that all publishing services are provided by independent third parties and not by PubWhizz LLC.

8. Advertiser Responsibilities

As an Advertiser, you agree to:

Provide accurate order details and instructions.
Submit content that complies with applicable laws and does not infringe the rights of others.
Respect each Publisher's editorial guidelines.
Complete payments before an order begins, unless otherwise agreed.
Communicate professionally with Publishers through the platform.

Advertisers are solely responsible for the content, links, keywords, and materials they submit for publication.

9. Publisher Responsibilities

As a Publisher, you agree to:

Provide accurate information about your website and services.
Maintain ownership or authorization to offer publishing services.
Publish approved content in accordance with your listing and agreed delivery terms.
Keep your listings, pricing, and website information up to date.
Deliver services honestly and professionally.

Publishers are solely responsible for the content published on their websites and for complying with all applicable laws and regulations.

10. Orders

An order is created when an Advertiser purchases a Publisher's service through the PubWhizz marketplace.

Publishers may accept or reject an order based on their editorial policies or service availability.

Both parties are expected to communicate promptly and cooperate to complete orders efficiently.

11. Order Completion

An order is considered completed when:

The Publisher successfully delivers the agreed service.
The Advertiser accepts the completed work.
The order is automatically completed according to the platform's applicable rules.

Once an order is completed, it may become ineligible for cancellation or refund except as described in our Refund Policy.

12. Payments

Payments are processed through trusted third-party payment providers supported by PubWhizz.

Platform fees, commissions, and any applicable payment processing charges are displayed before a transaction is completed.

By placing or accepting an order, you agree to the applicable fees in effect at the time of the transaction.

13. Wallet

PubWhizz may provide an internal wallet for deposits, refunds, promotional credits, commissions, and withdrawals.

Wallet balances have no cash value except where withdrawals are permitted under our policies.

PubWhizz reserves the right to review or temporarily restrict wallet transactions to prevent fraud, abuse, or unauthorized activity.

14. Refunds and Cancellations

Refund requests are governed by our Refund Policy, which forms part of these Terms.

Not all orders are eligible for a refund. Refund eligibility depends on the circumstances of the transaction, the status of the order, and our dispute resolution process.

15. Prohibited Activities

Users may not use PubWhizz to:

Violate any applicable law or regulation.
Publish illegal, fraudulent, or misleading content.
Infringe intellectual property rights.
Distribute malware, viruses, or harmful software.
Engage in spam, phishing, or deceptive practices.
Attempt unauthorized access to accounts or systems.
Manipulate reviews, ratings, or marketplace activity.
Use automated tools to disrupt or abuse the Services.

PubWhizz reserves the right to remove content, suspend accounts, or take other appropriate action against users who violate these Terms.

16. Intellectual Property

Each user retains ownership of the content, trademarks, logos, and other intellectual property they submit to the platform.

By submitting content through PubWhizz, you represent that you have the necessary rights and permissions to use and publish that content.

PubWhizz does not claim ownership of user-submitted content but may use it as necessary to operate, maintain, and improve the Services.

17. Third-Party Websites

Publisher websites listed on PubWhizz are owned and operated by independent third parties.

PubWhizz does not control or endorse the content, availability, security, or business practices of third-party websites and is not responsible for any loss or damage arising from your use of those websites.

18. Disclaimer

PubWhizz provides its Services on an "as is" and "as available" basis without any express or implied warranties.

As an independent marketplace, PubWhizz connects Advertisers with independent Publishers but does not guarantee the outcome of any marketing campaign or publishing service.

Unless expressly agreed by the Publisher, PubWhizz does not guarantee:

Publication by any Publisher.
Search engine rankings or SEO performance.
Google indexing or indexing by any search engine.
Organic traffic, Domain Authority (DA), Domain Rating (DR), or other third-party metrics.
Sales, leads, conversions, or business growth.
Permanent placement of published content or backlinks.
The continued availability of any third-party website or published content.

Publishers are independent businesses and are solely responsible for their websites, editorial decisions, content, pricing, publication timelines, and ongoing management of their websites.

19. Limitation of Liability

To the fullest extent permitted by applicable law, PubWhizz LLC, its owners, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of our Services.

Our total liability for any claim shall not exceed the amount paid by the user to PubWhizz for the specific transaction giving rise to the claim.

20. Indemnification

You agree to defend, indemnify, and hold harmless PubWhizz LLC and its affiliates, officers, employees, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from:

Your use of the Services.
Your violation of these Terms.
Your submitted content.
Your infringement of any third-party rights.
Any unlawful or negligent conduct.

21. Account Suspension and Termination

PubWhizz may suspend, restrict, or permanently terminate your account at its sole discretion if you:

Violate these Terms.
Engage in fraudulent or illegal activities.
Abuse the platform or other users.
Submit false or misleading information.
Attempt to compromise the security or integrity of the Services.

You may also close your account at any time by contacting our support team, subject to any outstanding obligations.

22. Force Majeure

PubWhizz shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including natural disasters, internet outages, cyberattacks, government actions, labor disputes, or other unforeseen circumstances.

The updated version will be published on our website with a revised Last Updated date. Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Before initiating legal proceedings, users agree to make reasonable efforts to resolve disputes by contacting PubWhizz directly.

If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming, United States, unless otherwise required by applicable law.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

26. No Waiver

Failure by PubWhizz to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

27. Entire Agreement

These Terms of Service, together with our Privacy Policy, Payment Policy, Refund Policy, Cookie Policy, and any additional policies referenced herein, constitute the entire agreement between you and PubWhizz regarding your use of the Services and supersede any prior agreements relating to the same subject matter.
